By accessing and using the services of Just Simply Software S.R.L., you accept and agree to be bound by these Terms of Service. Please read these terms carefully before using our services.
Acceptance of Terms
By accessing, browsing, or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Just Simply Software S.R.L. reserves the right to modify these terms at any time. Continued use of our services after any such changes constitutes acceptance of the new Terms of Service.
Services Provided
Just Simply Software S.R.L. provides the following services:
Client Responsibilities
As a client of Just Simply Software S.R.L., you agree to:
- Provide accurate and complete project requirements
- Respond promptly to communications and feedback requests
- Provide necessary access, materials, and information in a timely manner
- Use our services only for lawful purposes and in compliance with applicable regulations
- Maintain the confidentiality of any login credentials or access tokens provided
Payment Terms
Project-Based Pricing
For fixed-price projects, a deposit of 30-50% is required before work begins, with the balance due upon completion and acceptance.
Hourly/Rate Pricing
For time-and-materials projects, invoices are issued bi-weekly or monthly based on actual hours worked.
Payment Methods
We accept bank transfers, credit cards, and other methods as agreed upon in the contract.
Late payments may incur a 1.5% monthly interest charge. We reserve the right to suspend work on projects with overdue invoices.
Intellectual Property
Client-Owned IP
Upon full payment, all custom-developed software, designs, and deliverables become the exclusive property of the client.
Just Software IP
We retain ownership of all pre-existing intellectual property, reusable components, frameworks, and methodologies.
Third-Party Components
Third-party libraries and components remain subject to their respective licenses, typically MIT, Apache, or similar open-source licenses.
Warranty & Limitation of Liability
Warranty Period
We provide a 90-day warranty period from delivery date for bugs and defects in our deliverables.
Limitations
Our liability is limited to the amount paid for the specific services. We are not liable for indirect, incidental, or consequential damages.
Exclusions
Warranty does not cover issues arising from client modifications, third-party integrations, or force majeure events.
Termination
Either party may terminate this agreement with written notice:
For Convenience
30 days written notice. Client pays for work completed to date.
For Cause
Immediate termination for material breach, fraud, or non-payment.
Confidentiality & Non-Disclosure
Both parties agree to maintain strict confidentiality regarding proprietary information, trade secrets, and business practices exchanged during the engagement. This obligation survives termination of the agreement for a period of three (3) years.
Governing Law & Disputes
These Terms of Service are governed by the laws of Romania. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in Bucharest, Romania.
